INTRODUCTION

Thank you for choosing Financial Basket Capital Pvt. Ltd. (“ETF Junction,” “we,” “us,” or “our”).

This Influencer Policy (“Policy”) forms an integral part of our Terms and Conditions and applies to individuals approved by ETF Junction to participate as Influencers on the Platform (“Influencer,” “you,” or “your”).

An Influencer may create and share an ETF portfolio with other Platform users and, where eligible, may receive a fee when users access their monetized portfolio.

By applying to or participating as an Influencer, you agree to comply with this Policy, our Terms and Conditions, Acceptable Use Policy, Disclosure, and all applicable laws, regulations, and regulatory requirements.

In simple terms: Influencers are responsible for the accuracy and integrity of the information they provide, must not make misleading investment or performance claims, must not impersonate financial professionals or ETF Junction, and must comply with all applicable laws and Platform policies.

ONBOARDING AND APPROVAL

By clicking “Accept” or any equivalent option when prompted, or by applying to become an Influencer, you acknowledge and agree that ETF Junction may review your application and determine whether you are eligible to participate as an Influencer.

ETF Junction reserves the right to approve or reject any application at its discretion based on applicable eligibility requirements, Platform policies, compliance considerations, and other relevant factors.

Approval as an Influencer does not constitute an endorsement, certification, or representation by ETF Junction regarding your investment expertise, performance, qualifications, or suitability.

By applying to become an Influencer, you agree to comply with this Policy, our Terms and Conditions, Acceptable Use Policy, Disclosure, and other applicable Platform policies.

INFLUENCER TERMS

3.1 Influencer Features

As an approved Influencer, you may create an ETF portfolio and choose to share information relating to that portfolio with other users on the Platform.

Subject to applicable eligibility requirements and Platform functionality, you may have access to the following feature:

3.1.1 Portfolio Viewing Fee

When another Platform user views your monetized portfolio, you may receive a fee based on the amount displayed or otherwise determined through the Platform.

The applicable fee structure, Influencer share, and other related terms may be changed by ETF Junction from time to time.

3.2 Eligibility

To be eligible to participate as an Influencer and receive Portfolio Viewing Fees, you must:

3.2.1 Be a citizen residing in India;

3.2.2 Meet all eligibility requirements established by ETF Junction;

3.2.3 Provide accurate, complete, and up-to-date information during the application and onboarding process; and

3.2.4 Not be prohibited, suspended, restricted, or otherwise disqualified from using the Platform or participating as an Influencer.

ETF Junction may request additional information or documentation where reasonably required for onboarding, verification, compliance, or other legitimate Platform purposes.

PORTFOLIO SHARING AND VISIBILITY

When setting up your Influencer profile, you may be asked to provide consent to share your portfolio and portfolio-related information with other Platform users.

Depending on your selected settings and the features available on the Platform, users may be able to view:

4.1 The ETFs held in your portfolio and the percentage allocation of each ETF.

4.2 Your buy and/or sell transactions.

4.3 Portfolio gains or losses expressed as percentages for available periods, which may include 1 month, 3 months, 6 months, 1 year, year-to-date, 3 years, and 5 years.

4.4 Comparisons between your portfolio and other portfolios available on the Platform.

4.5 Other portfolio-related information that ETF Junction may make available through the Platform.

Your total portfolio value and individual transaction amounts will not be displayed to other users unless expressly stated otherwise on the Platform.

Personal information such as your private contact details will not be shared with other users through the Influencer feature. Your login name and profile picture may be displayed as part of your Influencer profile.

INFLUENCER RESPONSIBILITIES

As an Influencer, you are responsible for the information and content you provide through the Platform.

You must:

5.1 Provide information that is accurate, complete, and not misleading.

5.2 Not make false, fabricated, or misleading claims regarding portfolio performance, investment returns, risk, ETF characteristics, or investment strategies.

5.3 Clearly distinguish historical, simulated, or back-tested performance from actual investment performance.

5.4 Not represent past performance as a guarantee or indication of future returns.

5.5 Not make guaranteed-return claims or statements suggesting that an investment is risk-free or certain to generate profits.

5.6 Not impersonate ETF Junction, another Influencer, a SEBI-registered professional, financial institution, or any other person or organization.

5.7 Not use the Platform to provide unauthorized investment advice, solicit investments, or make financial promotions in violation of applicable laws or regulations.

5.8 Comply with all applicable securities laws, regulations, regulatory requirements, and disclosure obligations applicable to your activities.

5.9 Promptly notify ETF Junction if any information provided during your application or participation materially changes.

Approval as an Influencer does not relieve you of your individual legal or regulatory responsibilities.

PORTFOLIO VIEWING FEES

You may set the fee that users are charged to view your monetized portfolio, subject to the functionality and limits established by ETF Junction.

6.1 You may receive a fee each time an eligible user views your monetized portfolio.

6.2 A user who views your portfolio may automatically become your follower, depending on the functionality of the Platform. Followers may be able to view eligible portfolio updates and transactions.

6.3 ETF Junction may pay you up to 50–75% of amounts received through Portfolio Viewing Fees (“Influencer Share”), with the remaining amount retained by ETF Junction after applicable deductions.

6.4 The applicable Influencer Share is determined by ETF Junction and may be changed from time to time.

6.5 Portfolio Viewing Fees are fees for accessing or viewing monetized portfolio information. They do not constitute investments in your portfolio.

6.6 ETF Junction does not provide tax advice or guarantee the tax treatment of Influencer payments. You are solely responsible for reporting your Influencer income and complying with all applicable tax laws and obligations.

REAPPLICATION

If your application to become an Influencer is rejected, you may reapply after a minimum period of thirty (30) days, subject to the eligibility requirements and application process applicable at that time.

Reapplication does not guarantee approval.

ETF Junction may change eligibility requirements or application procedures from time to time.

APPLICATION REVIEW PROCESS

Once you submit an Influencer application and meet the applicable preliminary requirements, your application may be placed in a review queue.

ETF Junction may review your application based on applicable eligibility requirements, Platform policies, compliance considerations, and other factors relevant to participation as an Influencer.

We generally aim to communicate a decision within approximately one week; however, some applications may require additional review and may take longer, including more than one month.

Delays may occur due to application volumes, system issues, additional verification requirements, compliance reviews, or other operational considerations.

ETF Junction does not guarantee approval or a specific review timeline.

APPLICATION EXPEDITING

Influencer applications cannot generally be expedited.

Applications are ordinarily reviewed according to our internal processes and queue. Certain applications may require additional assessment or multiple levels of review, which may result in longer processing times.

ETF Junction reserves the right to prioritize or review applications differently where reasonably necessary for operational, compliance, legal, or other legitimate purposes.

INFLUENCER RANKINGS

ETF Junction may display Influencer rankings or other comparative information on the Platform.

By participating as an Influencer, you acknowledge and agree that your profile and eligible portfolio-related information may be included in such rankings.

Rankings are provided for informational and Platform purposes and should not be interpreted as an endorsement, recommendation, guarantee of performance, or statement that one Influencer is suitable for a particular user.

INFLUENCER PROFILE DISPLAY

ETF Junction may determine how Influencer profiles are displayed, including their position, visibility, ordering, or presentation on the Platform.

Profiles may be displayed according to parameters determined by ETF Junction, which may include Platform activity, user engagement, portfolio-related information, fee-related parameters, or other operational criteria.

ETF Junction does not guarantee any particular level of visibility, ranking, traffic, or user engagement for an Influencer.

RANKING AND PROFILE DISPLAY CRITERIA

The criteria and parameters used to rank or display Influencer profiles may be determined and modified by ETF Junction from time to time.

By participating as an Influencer, you acknowledge that profile placement and rankings may change and that ETF Junction does not guarantee any particular ranking or position.

Ranking or profile placement does not constitute investment advice, endorsement, certification, or a guarantee of performance.

LICENSE TO USE INFLUENCER CONTENT

Content created, provided, submitted, or otherwise made available by you in connection with your participation as an Influencer (“Influencer Content”) may be used by ETF Junction in accordance with this Policy and our Terms and Conditions.

Subject to applicable law, you grant ETF Junction a royalty-free, non-exclusive, worldwide license during the term of your participation as an Influencer to host, display, reproduce, distribute, modify, adapt, perform, and otherwise use your Influencer Content for purposes connected with operating, promoting, marketing, and monetizing the Platform and Influencer program.

This may include displaying or promoting your Influencer profile, portfolio-related information, name, profile image, and other permitted Influencer Content on the Platform and appropriate third-party channels, including social media and video platforms such as YouTube.

You represent that you have the necessary rights and permissions to grant this license and that your Influencer Content does not infringe the rights of any third party.

ADVERTISING AND PROMOTION

ETF Junction may display, promote, or otherwise feature your Influencer profile, portfolio-related information, and eligible Influencer Content on the Platform during your participation in the Influencer program.

Where appropriate, ETF Junction may also use such content for marketing, educational, promotional, or informational purposes on third-party platforms.

ETF Junction will not represent that your participation as an Influencer constitutes an endorsement of your investment performance or guarantees the suitability of your portfolio for any user.

If you do not wish to participate in the Influencer program or have your profile made available through the applicable Influencer features, you may terminate your participation in accordance with this Policy and our Terms and Conditions.

PERFORMANCE AND PORTFOLIO DISCLOSURES

You may have the option to monetize your ETF portfolio. Where you choose to monetize your portfolio, certain portfolio constituents or detailed holdings may be hidden from users, depending on the Platform's functionality.

Users accessing a Monetized Portfolio may have access to selected information, such as portfolio returns or performance-related information, as determined by ETF Junction.

Performance charts, historical returns, and other portfolio metrics may include actual, simulated, or back-tested results calculated using the applicable methodology.

Data used to calculate historical returns and other information may be obtained from exchange-approved or other third-party data providers. ETF Junction does not independently audit or validate all third-party data and does not guarantee that such data is complete, accurate, or error-free.

Past performance is not indicative of future results. Back-tested and simulated performance does not represent actual trading results and should not be presented or interpreted as guaranteed future performance.

Neither Influencers nor users should rely solely on historical, simulated, or back-tested performance when making investment decisions.

COMPLIANCE AND PROHIBITED INFLUENCER ACTIVITIES

An Influencer must not use the Platform to:

16.1 Make misleading or deceptive claims about investment returns, portfolio performance, ETFs, or financial products.

16.2 Guarantee profits or claim that an investment is risk-free.

16.3 Manipulate, fabricate, or selectively misrepresent portfolio performance or historical results.

16.4 Publish false testimonials, reviews, credentials, qualifications, or investment experience.

16.5 Impersonate another Influencer, financial professional, institution, or ETF Junction.

16.6 Use another person's content, intellectual property, personal information, or likeness without the necessary rights or permissions.

16.7 Engage in unauthorized solicitation, advertising, or promotion of financial products or services.

16.8 Use the Platform to facilitate fraud, market manipulation, or any other unlawful activity.

16.9 Circumvent Platform restrictions, ranking mechanisms, fees, security measures, or other controls.

ETF Junction may investigate suspected violations and take appropriate action, including removal of content, restriction of features, suspension, or termination of Influencer participation.

SUSPENSION AND TERMINATION

ETF Junction may suspend or terminate your participation as an Influencer if:

17.1 You violate this Influencer Policy, our Terms and Conditions, Acceptable Use Policy, or other Platform policies.

17.2 You provide false, incomplete, or misleading information.

17.3 You engage in unlawful, fraudulent, abusive, or misleading conduct.

17.4 You make unauthorized or misleading investment-related claims or promotions.

17.5 Your continued participation may create legal, regulatory, security, or reputational risk for ETF Junction or its users.

17.6 You otherwise fail to satisfy applicable eligibility requirements.

You may terminate your participation as an Influencer in accordance with the applicable account and termination provisions of our Terms and Conditions.

Termination may result in the removal or restriction of your Influencer profile and related features, subject to applicable law and any rights or obligations that survive termination.

MISCELLANEOUS

18.1 If ETF Junction approves you as an Influencer, you agree to comply with this Policy, our Terms and Conditions, Acceptable Use Policy, Disclosure, and all other applicable Platform policies.

18.2 You must not use the Platform in any manner that constitutes misuse of our services, violates applicable law or regulatory requirements, or breaches any Platform policy.

18.3 You are responsible for your conduct, content, representations, and activities as an Influencer and for complying with the legal and regulatory obligations applicable to you.

18.4 Participation as an Influencer does not create an employment, agency, partnership, joint venture, or fiduciary relationship between you and ETF Junction.

18.5 ETF Junction operates as an intermediary and may be entitled to applicable safe-harbor protections under the Information Technology Act, 2000, and other applicable laws and regulations, subject to the requirements and limitations of such laws.

18.6 Nothing in this Policy constitutes investment advice, an investment recommendation, a guarantee of returns, or an endorsement of any Influencer or portfolio by ETF Junction.

18.7 In the event of any dispute between you and ETF Junction, the Governing Law and Dispute Resolution provisions contained in our Terms and Conditions will apply.
